Code of Business Ethics and Compliance

Employee and Board excellence

The value of Employee and Board Excellence embodies our commitment to the highest level of legal, ethical, and moral standards in the conduct of our business based on a fundamental belief in honesty, fair dealing, and open competition. Every person is expected to maintain and foster these standards and has an obligation to disclose any action that he or she believes to be inconsistent with them.

Cooperation

CIRI achieves the greatest successes when our individual efforts support and pursue the goals of the organization. As we strive for excellence in all that we do, we emphasize teamwork and the establishment of an atmosphere of trust, integrity, and respect. We believe in the fundamental dignity and worth of each individual. We listen to each other and communicate in a straightforward, open style. We share our opinions and sincerely welcome the opinions of others. In our interactions, we are fair, courteous, professional, caring, and adhere to the highest standards of ethical behavior and legal compliance. The Board and staff are committed to working cooperatively to maximize operational efficiency and long-term value to shareholders.

Loyalty

We are dedicated to the organization and give our undivided loyalty and best efforts each day to our work. We take pride in our achievements and continually seek to better ourselves and our job performance. As an organization, CIRI encourages responsible risk taking, creativity, and innovation in approaches to work and fiscal responsibility. CIRI values the diversity and unique contributions of all people at CIRI.

Accountability

Members of the CIRI Board of Directors give their best efforts to the governance of CIRI. The Board members believe that effective governance is the key to building long-term shareholder value. The Board has adopted a set of financial corporate governance policies that are monitored and enforced by the Audit Committee. The Board members work together for the common good of the organization. CIRI Board members exercise their duty to inquire, keep information confidential, make decisions, offer recommendations, and take actions that are objective and in the best long-term interest of CIRI and its shareholders, rather than in the furtherance of personal agendas, the interests of third parties, or individual groups of shareholders. They are ethical and accountable in their actions and are committed to the mission of CIRI.

Equal Employment Opportunity

CIRI provides equal employment opportunity to all persons regardless of ethnicity, religion, age, gender, national origin, physical or mental disability, sexual orientation, pregnancy, marital, and/or parental status; provided, however, that CIRI reserves its legal right to give preference to CIRI shareholders in employment and advancement opportunities. This applies to employment placement, promotion, transfer, and all other conditions or benefits of employment.
