Annual meeting resolutions
CIRI shareholders voted on the following four resolutions at CIRI's 2009 annual meeting.
Annual Meeting Resolution 2009-01
Genealogical and Cultural Heritage Archives:
Whereas, many shareholders would like to obtain and share more information in regard to Alaska Native genealogical and cultural heritage, and
Whereas, certain CIRI shareholders have accumulated genealogical and cultural heritage information and are willing to share that accumulated information with other shareholders, and
Whereas, CIRI’s mission is to “promote the economic and social well-being and Alaska Native heritage of its shareholders, now and into the future. . .”, and
Whereas, the Alaska Native genealogical and cultural heritage information accumulated by certain CIRI shareholders could be useful to CIRI in its efforts to identify and communicate with descendants, and
Whereas, a repository for, and access to, the genealogical information is needed,
Therefore Be It Resolved that CIRI create a link on its Web site to genealogical and cultural heritage information gathered from shareholders on a voluntary basis, and
Be It Further Resolved that CIRI assist with the gathering and updating of information by forwarding new genealogical and cultural heritage information provided to CIRI through such Web site link.

Discussion
The CIRI Board of Directors Proxy Committee voted yes in support of this resolution. CIRI will move forward with creating the Web site link in order that genealogical and cultural heritage information may be shared.

Annual Meeting Resolution 2009-02
Election Reform:
Independent proxy and solicitation material be allowed to be included in CIRI proxy mailing.

Discussion
The CIRI Board of Directors Proxy Committee voted no to oppose this resolution. Although not required to do so, CIRI offers to all write-in candidates the opportunity to have their information included in CIRI’s election materials as “Write-in candidates.” In addition to these outreach opportunities, shareholders can and do run their own campaigns and circulate their own campaign materials at their own expense.

Annual Meeting Resolution 2009-03
Election Reform:
Other candidates that run on CIRI’s proxy solicitation be afforded discretionary voting authority same as the Board slate to be able to share/distribute their vote to any slate of person running for director.

Discussion
The CIRI Board of Directors Proxy Committee voted no to oppose this resolution. Any shareholder not selected for the Board-recommended slate may include his or her information in certain of CIRI’s election materials as a potential “Write-in candidate.” All votes directed to a “Write-in candidate” on the CIRI proxy are cast for that candidate by the CIRI proxyholder in the amount specified by the voter. Shareholders whose names appear on the CIRI proxy as “Write-in candidates” are free to solicit their own proxies, in which case that proxyholder would have discretionary voting authority.

Annual Meeting Resolution 2009-04
Election Reform:
Institute policy of not suing its own shareholder.

Discussion
The CIRI Board of Directors Proxy Committee voted no to oppose this resolution. CIRI welcomes open and robust debate on any issues involving the corporation and its shareholders, provided that debate is conducted fairly. Alaska statutes and proxy regulations set forth specific rules governing proxy campaigns, which make it illegal to solicit proxies based on false and misleading statements in proxy solicitation materials. If the law is violated and false and misleading statements are made to shareholders for political gain, CIRI feels it has no choice but to seek redress via administrative and/or court proceedings.
