CIRI Board Announces New Proxy for Board Elections
March 11th Deadline for Non-Endorsed Candidate Information Forms


While the deadline has passed for CIRI shareholders to be considered for the CIRI Board-endorsed slate of candidates, a new process adopted by the CIRI Board at the December board meeting will allow non-Board-endored candidates to have their names listed on the proxy, in the proxy statement and their photos and personal statements included in the CIRI Voter’s Guide, to be mailed in the first CIRI proxy packet in April.

This revised process enables all eligible CIRI shareholders to run for the CIRI Board with minimal effort and expense and, hopefully will reduce the number of mailings and materials shareholders receive.

To be included in CIRI proxy materials, a Candidate Information Packet must be completed and returned to CIRI on or before March 11. The Candidate Information Packets may be found online at www.ciri.com/shareholder/meetings.htm or requested by calling CIRI Shareholder Relations at (907) 274-8638 or toll-free outside of Anchorage at (800) 764-2474.

Highlights of New Election Process:

  • The names, photographs and personal statements of all eligible candidates may appear in CIRI proxy materials, including the proxy, proxy statement and Voter’s Guide (provided a completed Candidate Information Packet is returned to CIRI on or before March 11).
  • There will be no charge to other candidates for the inclusion of his or her information on the CIRI proxy or in the proxy statement and Voter’s Guide. CIRI will pay the cost of printing and mailing proxy materials sent on behalf of the company.
  • The CIRI proxy will contain lines for write-in candidates.
  • Candidates included in CIRI proxy materials are not restricted from financing their own campaigns and distributing communications materials to shareholders.
  • The full CIRI Board, rather than just its executive committee, will hold and vote CIRI’s proxies.

How to Vote the New 2005 CIRI Proxy
The revised 2005 CIRI proxy will provide shareholders a choice of two ways to vote their proxy for the election of five directors for three-year terms ending in 2008.
First, choose which way you would like to vote.

Option 1. Vote for the Board-Endorsed Candidates
These are the candidates the CIRI Board recommends to be the most qualified to carry out the direction of the company. If you agree check the box that says “Vote for the Board-Endorsed Candidates.” This gives the Board discretionary authority to vote the proxies amongst the Board-endorsed candidates, allowing maximum flexibility for purposes of electing the greatest possible number of Board-endorsed candidates.

Option 2. Allocate Votes
If you prefer to allocate your votes to one or more specific candidates, this is the box to check. It allows voters to direct votes to any combination of candidates including write-in candidates. If allocating votes, select a candidate or write-in the candidate and indicate the number of directed votes to cast for each candidate. A. Board-Endorsed Candidates The candidates endorsed by the CIRI Board of Directors. B. Other Candidates CIRI shareholder candidates not endorsed by the Board that have submitted Candidate Information Packets by the March 11 deadline. C. Write-In Candidates The names of other eligible shareholders may be written in and given directed votes.
